Terms & Conditions

Please read these terms and conditions carefully. They outline the rights, responsibilities, and legal framework governing our services and client partnerships.

1. Acceptance of Terms

By accessing, browsing, or utilizing the website and services provided by Proteus Digital Ltd ('Proteus', 'we', 'us', or 'our'), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.

If you are entering into an agreement on behalf of a company or legal entity, you represent that you possess the authority to bind such entity to these terms.

2. Scope of Services & Deliverables

Proteus provides social-first content creation, organic and paid social media management, personal branding, video production, and web development services.

Specific campaign deliverables, timelines, approval workflows, and performance metrics are defined in individual Statement of Work (SOW) documents or Master Services Agreements (MSA) executed between Proteus and the client.

We reserve the right to refine or optimize production schedules to maintain quality standards and campaign effectiveness.

3. Intellectual Property & Ownership

Client Ownership: Upon receipt of full payment, all customized client deliverables, final edited videos, graphics, and commissioned brand assets become the exclusive intellectual property of the client.

Agency Property: Proteus retains sole ownership of pre-existing templates, proprietary strategic frameworks, internal software tools, and underlying code libraries developed prior to or independently of the engagement.

Portfolio Rights: Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA), Proteus reserves the right to display completed client work, case studies, and performance statistics across our portfolio, website, and promotional channels.

4. Fees, Invoicing & Payment Terms

Service fees, retainer rates, and project milestones are quoted in British Pounds Sterling (GBP) unless otherwise specified.

Invoices are issued according to the payment schedule set forth in your service agreement and are due within 14 calendar days of issuance unless alternative credit terms are approved.

Late payments may incur interest charges calculated pursuant to the UK Late Payment of Commercial Debts (Interest) Act 1998, together with reasonable recovery costs.

5. Limitation of Liability

While we engineer every campaign for maximum performance and conversion, Proteus cannot guarantee specific third-party platform algorithm behaviors, organic reach fluctuations, or policy changes enacted by Instagram, TikTok, Meta, YouTube, or Google.

To the fullest extent permitted by applicable law, Proteus Digital Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

6. Governing Law & Dispute Resolution

These Terms & Conditions and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.

Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms.
